Perjanjian Pelaksanaan EPC Gas Pipeline for Riau 250 MW GFPP Project (selanjutnya disebut "Perjanjian") ini dibuat di Jakarta pada hari ……., tanggal ……… bulan ………….tahun dua ribu enam belas (…-…-2016), oleh dan antara:

I. PT MEDCO POWER INDONESIA
Perseroan Terbatas yang didirikan berdasarkan Hukum Negara Kesatuan Republik Indonesia berkedudukan di The Energy Building 50th Floor, SCBD Lot 11A, Jalan Jenderal Sudirman Kav. 52-53, Jakarta 12190, dalam hal ini diwakili oleh …………………………………., dalam jabatannya selaku …………………….berdasarkan Akta No …………………………………… tanggal …………., dengan demikian berwenang untuk bertindak atas nama PT MEDCO POWER INDONESIA (untuk selanjutnya disebut sebagai ”PROJECT OWNER”); dan

II. PT CITRA PANJI MANUNGGAL
Perseroan Terbatas yang didirikan berdasarkan serta tunduk kepada Hukum Negara Kesatuan Republik Indonesia, berkedudukan di Jl. Ciputat Raya No. 16, Kebayoran Lama Selatan, Kebayoran Lama, Jakarta Selatan 12240, Indonesia, dalam hal ini diwakili oleh ................................, dalam jabatannya selaku Direktur Utama berdasarkan Akta No. .....................................tanggal ..................., dengan demikian berwenang untuk bertindak atas nama PT CITRA PANJI MANUNGGAL (untuk selanjutnya disebut sebagai ”EPC CONTRACTOR”).

PROJECT OWNER dan EPC CONTRACTOR secara sendiri-sendiri disebut "PIHAK" dan secara bersama-sama disebut "PARA PIHAK".

PARA PIHAK menerangkan terlebih dahulu hal-hal sebagai berikut:
A. Bahwa, PROJECT OWNER telah mengundang EPC CONTRACTOR untuk menyampaikan penawaran harga sehubungan pekerjaan EPC GAS PIPELINE FOR RIAU 250 MW GFPP IPP PROJECT;
B. Bahwa, EPC CONTRACTOR setuju untuk melaksakan pekerjaan EPC GAS PIPELINE FOR RIAU 250 MW GFPP IPP PROJECT dan mengajukan
Surat Penawaran Harga (selanjutnya disebut sebagai “Penawaran”);
C. Bahwa, PARA PIHAK telah menyepakati biaya pelaksanaan Pekerjaan sesuai dengan Berita Acara Klarifikasi & Negosiasi Nomor: …………………………………. (selanjutnya disebut sebagai “Berita Acara Klarifikasi & Negosiasi”).

Maka berdasarkan hal-hal tersebut diatas, PARA PIHAK telah setuju dan sepakat untuk membuat Perjanjian ini dengan syarat-syarat serta ketentuan-ketentuan sebagai berikut:

PT MEDCO POWER INDONESIAA limited liability company established under the laws of the State of the Republic of Indonesia Unity based on The Energy Building the 50th Floor, SCBD Lot 11A, Jalan Sudirman Kav. 52-53, Jakarta 12190, in this case represented by........................................, in his position as a ... ... ... ... ... ... ... ... ... ... ... based on Deed No........................................................, thus authorized to act on behalf of PT MEDCO POWER INDONESIA (hereinafter referred to as "PROJECT OWNER"); andII. PT CITRA PANJI MANUNGGALA limited liability company established and subject to the laws of the Republic of Indonesia, unitary State based on JL. Ciputat Raya No. 4, Kebayoran Lama, South Kebayoran Lama, South Jakarta 12240, Indonesia, in this case represented by................................, in his position as President Director based on Deed No.........................................................., thus authorized to act on behalf of PT CITRA PANJI MANUNGGAL (henceforth referred to as "EPC CONTRACTOR").PROJECT OWNER and the EPC CONTRACTOR in its own so-called "PARTY" and collectively the "PARTIES".The PARTIES explain the first things as follows:A. that the PROJECT OWNER has invited the EPC CONTRACTOR for delivering price quote in respect of the work of the EPC PIPELINE GAS FOR RIAU 250 MW GFPP IPP PROJECT;B. that the EPC CONTRACTOR agrees to GAS PIPELINE EPC work pursuing FOR RIAU 250 MW GFPP IPP PROJECT and submits Letter of offer prices (hereinafter referred to as the "Offer");C., That the parties have agreed on the cost of the execution of the work in accordance with the clarification of Events & News Negotiations number: ... ... ... ... ... ... ... ... ... ... ... ... .... (hereinafter referred to as "News Event Clarification & Negotiation").Then based on the above, the parties have agreed and agreed to make this agreement with the terms and provisions as follows:

company with limited liability under the laws of the Republic of Indonesia based in The Energy Building 50th Floor, SCBD Lot 11A, Jalan Sudirman Kav. 52-53, Jakarta 12190, in this case represented by ........................................, In his position as .berdasarkan Deed No. ........................ ........................ .................. dated ............., and is therefore authorized to act on behalf of PT MEDCO POWER INDONESIA (hereinafter referred to as "PROJECT OWNER"); and

II. PT CITRA PANJI MANUNGGAL
Limited Company incorporated under and governed by the Law of the Republic of Indonesia, located on Jl. Ciputat Raya No. 16, Kebayoran Lama Selatan, Kebayoran Lama, South Jakarta 12240, Indonesia, in this case represented by .............................. .., in his position as Managing Director based on Deed ..................................... dated ............ ......., thereby authorized to act on behalf of PT CITRA PANJI MANUNGGAL (hereinafter referred to as "EPC CONTRACTOR").

PROJECT OWNER and CONTRACTOR EPC individually called the "PARTY" and collectively referred to as " tHE PARTIES '.

tHE PARTIES explained beforehand matters as follows:
A. Whereas, EPC PROJECT CONTRACTOR OWNER has been invited to submit a price quote in respect of employment EPC GAS PIPELINE FOR RIAU 250 MW IPP GFPP PROJECT;
B. Whereas, EPC CONTRACTOR agrees to carry out the work of the EPC GAS PIPELINE FOR RIAU 250 MW IPP PROJECT GFPP and filed a
Letter of Offer Price (hereinafter referred to as the "Offers");
C. Whereas, THE PARTIES have agreed on the implementation of the Employment costs in accordance with the Minutes of Clarification & Negotiation Number: ........................................ (hereinafter referred to as "the Minutes of Clarification & Negotiation").

So based on the above matters, THE PARTIES have agreed and consented to make this agreement with the terms and provisions as follows:
