Tugas dan tanggungjawab Komite Tata

Tugas dan tanggungjawab Komite Tata Kelola meliputi:
a. Mengevaluasi struktur dan kerangka tata kelola serta kesesuaian kebijakan tata kelola Danamon.
b. Mengkaji dan menilai prinsip-prinsip dan pelaksanaan tata kelola serta menyampaikan rekomendasi perbaikan kepada Dewan Komisaris.
c. Melaporkan kepada Dewan Komisaris berbagai ketidaksesuaian pelaksanaan tata kelola dan menyampaikan tindakan-tindakan yang dapat diambil dalam rangka perbaikan.
d. Mengkaji laporan tata kelola yang dikeluarkan oleh Danamon untuk memastikan transparansi dan akurasi laporan tersebut serta merekomendasikan perbaikan kepada Direksi.
e. Menyampaikan rekomendasi dalam rangka pemberian endorsement Dewan Komisaris atas laporan tata kelola dan kebijakan tata kelola Danamon.
f. Menjaga kerahasiaan seluruh dokumen, data, dan informasi Danamon.

Wewenang Komite Tata Kelola, meliputi:
a. Mengakses dokumen, data, dan informasi Danamon yang diperlukan.
b. Melakukan komunikasi langsung dengan karyawan, Direksi dan pihak-pihak lain terkait dengan pelaksanaan tugas dan tanggung jawab
c. Melibatkan pihak independen untuk membantu pelaksanaan tugasnya jika diperlukan.
d. Melakukan kewenangan lain yang diberikan oleh Dewan Komisaris.
